Joseph R.S. (“Joe”) Tyssowski is a partner at Gebhardt & Smith whose clients include national banks, regional banks, community banks, credit unions, finance companies and SBA Certified Development Companies in negotiating and documenting commercial financing transactions. Joe’s representation of lenders includes (i) stock and asset acquisition financing; (ii) representation of administrative agents and co-lenders in syndicated credit facilities; (iii) asset based financing; (iv) equipment financing; (v) specialized collateral structures such as ESOP loans and loans to government contractors; (vi) real estate financing; (vii) Small Business Administration loans and government guaranteed financing; and (viii) financing involving complex subordinated debt structures. In addition to documenting transactions at origination, he regularly re-documents troubled loans and negotiates and documents forbearance agreements and intercreditor agreements.
Prior to becoming a lawyer, Joe worked as a special education consultant for the Texas Migrant Council while with VISTA (Volunteers in Service to America), as well as a special education teacher for adults. Joe studied social work and political science as an undergraduate at Western Maryland College, and then went on to earn a Masters in Education. After his VISTA experience, he returned to school and earned his J.D. from the University of Maryland, where he was a member of the Order of the Coif. Joe also received the G. Ridgley Sappington Prize for academic excellence and the American Jurisprudence Awards in Evidence, Criminal Law, Civil Procedure, Estates and Trusts, Damages and Torts.
